**I. Introduction**
On July 27, 2012, the EDGX Exchange, Inc. (“Exchange” or “EDGX”) filed with the Securities and Exchange Commission (“Commission”), pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (“Act”) [^1] and Rule 19b-4 thereunder, [^2] a proposed rule change that would have introduced the Edge Market Close <sup>SM</sup> (“EMC”) Order as a new order type. The proposed rule change was published for comment in the *Federal Register* on August 10, 2012. [^3] The Commission received two comments on the proposed rule change. [^4] On September 19, 2012, the Exchange extended the time period for the Commission to approve the proposed rule change, disapprove the proposed rule change, or institute proceedings to determine whether the proposed rule change should be approved or disapproved, to November 8, 2012.
